Big Sandy Community and Technical College (BSCTC) is one of 16 colleges that are part of the Kentucky
Community and Technical College System (KCTCS), as outlined in the Kentucky Postsecondary Education
Improvement Act of 1997
[1]. A 14-member Kentucky Community and
Technical College System Board of Regents (BOR) has the authority and duty to ensure mission implementation
by the institution
[2]. A 10-member local Board of Directors serves
the institution in an advisory capacity, with specific functions set in statute as outlined below.
The KCTCS Board of Regents
[3] is the legal body responsible for the
institution which it holds in trust. Documents, including Board of Regents meeting minutes
[4a]
[4b] and policies
[5], provide
evidence that the Board is an active policy-making body for the institution and not
controlled by a minority of board members or by organizations or interests separate from KCTCS.
The BOR is composed of eight members appointed by the Governor, serving a six-year term; two members
of the teaching faculty, two members of non-teaching personnel, and two members of the student body.
The BOR approves all Board policies of KCTCS and reviews and approves financial resources and financial
transactions at each board meeting

The BOR By-laws [7] and KRS 164.340
[8] require that a quorum of
board members be present at all official meetings and that all resolutions and actions require a majority vote.
As stated in the BOR By-laws and KRS 164.0053
[9], the presiding officer of the
Board of Regents, along with a majority of the other voting members, have no contractual, employment, or
personal or familiar financial interest in the institution. The presiding officer of the BOR is elected by
the membership of the full KCTCS BOR [10].
The BOR meets quarterly; however, the by-laws permit special meetings as necessary.
The BSCTC Board of Directors consists of 10 members
[11],
seven of whom are appointed by the Governor from nominees of the BSCTC Nominating
Commission established under KRS 164.602 [12].
The other three members consist of one from the teaching faculty, one from the non-teaching
personnel, and one from the student body. An appointed member's term is six years. The
duties of the Board of Directors, specified in 164.600[13],
include the following: (1) recommend one candidate for community and technical college president from the
three candidates provided from the President of KCTCS, who in turn makes the final appointment and is
not bound by the recommendation of the Board of Directors
[14]; (b)
evaluate the college president and advise the KCTCS President of his or her performance; (c) approve
budget requests for recommendation to KCTCS; (d) adopt and amend an annual operating budget and submit
it to the BOR for approval; and (e) approve a strategic plan that is developed in coordination with local
employers, civic leaders, campus constituents, and other local postsecondary institutions in the region.
The president of each community college has full authority and discretion regarding the use and management
of the budget approved by the BOR. The BSCTC Board of Directors By-laws
[15] require
that a quorum of board members be present at all official meetings and that all resolutions and
actions require a majority vote. As stated in the BSCTC Board of Directors By-laws, the presiding
officer of the Board of Directors, along with a majority of the other voting members, have no contractual,
employment, or personal or familiar financial interest in the institution. The BSCTC organizational chart
indicates the relationship of the college to the system and to the BOR
[16].
The BSCTC Board of Directors meets quarterly as evidenced by the minutes
[17].
